These Terms and Conditions (“Terms”) govern the use of the web application YADM operated by:

3.1 These Terms apply to all access to and use of the YADM application.
3.2 By creating an account and/or subscribing to a paid plan, the User confirms acceptance of these Terms.
3.3 Separate rules apply depending on whether the User subscribes as:
Mandatory consumer protection rules apply regardless of any conflicting provision.
4.1 YADM provides online modelling for the DEMO modelling style. Version 2 and 3 are supported.
4.2 Features

4.3 Proost Consulting bv reserves the right to update or modify YADM to improve functionality, security, or compliance.
4.4 Proost Consulting bv reserves the right change the features (current, and new) according to the account types.
Downgrading: Removing features from your current plan will only come into effect after your current subscription is renewed. Unless if the feature has a high security risk.
New features: Adding new features can be added automatically to your current plan, or can only become available in a higher or lower tier plan.
4.5 Security updates to current features in your plan will be rolled out automatically.
5.1 Users must provide accurate and complete information when creating an account.
5.2 Login credentials are personal and must be kept confidential.
5.2.1 Your personal User password is used to encrypt/decrypt your models and are not recoverable.
5.3 The User is responsible for all activity occurring under their account.
6.1 Prices are displayed in EUR and include VAT where applicable.
6.2 Subscriptions are billed after registration on an annual basis
6.3 Payment must be made with a bank account to the Belgium bank account stated on the invoice.
6.4 Failure to pay may result in suspension or termination of access. And deleting of your files.
8.1 Consumers have the legal right to withdraw from the contract within 14 days of registration without giving any reason.
8.2 If the Consumer access his/her YADM account after during the withdrawal period, they expressly:
9.1 YADM must conform to the contract in accordance with EU Directive 2019/770 and Belgian law.
9.2 In case of lack of conformity, the Consumer is entitled to appropriate remedies (repair, replacement, price reduction, or termination).
10.1 All intellectual property rights relating to YADM remain the exclusive property of Proost Consulting bv or its licensors.
10.2 Users receive a limited, non-exclusive, non-transferable licence to use YADM during the subscription period.
10.3 No rights are transferred beyond those strictly necessary for use of the service.
10.4 All models and data stored under the user account is fully (intellectual) property of that user. Proost Consulting bv can’t claim any legal rights or licenses to this work.
Users agree not to:
Proost Consulting bv may suspend or terminate access in case of violation.
Proost Consulting bv is liable only for damages caused by gross negligence, wilful misconduct, or mandatory legal obligations.
Nothing in these Terms limits or excludes liability that cannot be excluded under Belgian or EU consumer law.
Liability is limited to the amount paid by the Business Customer in the 6 months preceding the damage, except in cases of fraud or intentional misconduct.
Personal data is processed in accordance with the GDPR and Belgian data protection law. Details are provided in the Privacy Policy, which forms an integral part of these Terms. Users can log in to their YADM account and use the "Delete my account" option under Profile to delete all data and personal information from our systems.

14.1 Proost Consulting bv may amend these Terms.
14.2 Users will be informed in advance of material changes.14.3 Continued use of the Application after changes take effect constitutes acceptance.
15.1 These Terms are governed by Belgian law.15.2 For Consumers, disputes may be brought before the competent courts under consumer protection rules based in Bruges or Antwerp.15.3 For Business Customers, exclusive jurisdiction lies with the courts of Bruges, Belgium.
